Terms of Service

By accessing or using the NexusSeal platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

NexusSeal provides a digital trust platform for Remote Online Notarization (RON), mobile notarization coordination, loan and title signings, identity verification, knowledge-based authentication, credential analysis, document execution, audit recordkeeping, scheduling, and related business operations for notary professionals and their clients.

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Commissioned notaries must maintain a valid commission in good standing in their authorized jurisdictions.

You agree not to use the Platform to commit fraud, impersonate any person, circumvent identity verification, tamper with notarial recordings or journals, transmit malware, or violate applicable law, including the laws of the jurisdiction in which a notarial act is performed.

Notarial acts performed on the Platform are governed by the laws of the jurisdiction in which the notary is commissioned. NexusSeal facilitates session execution, recording, and journal entries, but the notary remains the responsible officer of record. Audio/video recordings, identity proofing artifacts, and journal entries are retained in accordance with our Data Retention Policy.

Subscription fees, per-transaction fees, and ancillary service fees are described at checkout or in your order form. Fees are non-refundable except as set forth in our Refund Policy. Taxes are your responsibility unless we are required by law to collect them.

The Platform, including the NexusSeal™ and Zyiion™ marks, software, designs, and content, is owned by ROSSNEXUS Technologies LLC or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform during your subscription term.

Customer-uploaded documents, signer information, and session recordings are treated as confidential. Our processing of personal information is described in our Privacy Policy.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROSSNEXUS TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to defend and indemnify ROSSNEXUS Technologies LLC against claims arising from your misuse of the Platform, violation of these Terms, or violation of applicable law.

We may suspend or terminate your access for material breach, fraud, or activity that creates risk to other users or the Platform. You may terminate your account at any time, subject to outstanding fees.

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws principles. Venue lies in the state and federal courts located in Clark County, Nevada.

We may update these Terms from time to time. Material changes will be communicated through the Platform or via email. Continued use after the effective date constitutes acceptance.
